Introduction
These Terms and Conditions govern access to and use of the Morex Network platform. By registering or using the platform, you agree to comply with these Terms.
About Morex Network
Morex Network is a mutual credit trading network enabling businesses to exchange goods and services using Morex Credits alongside conventional payment methods. Morex Network is not a bank, payment institution, or financial intermediary.
Eligibility
To use the platform you must be a legitimate business or organisation, provide accurate and up-to-date information, and be authorised to act on behalf of your business. We reserve the right to approve or reject registrations at our discretion.
Accounts and access
Each member is responsible for maintaining the confidentiality of their login credentials. Members must notify us immediately of any unauthorised access. We may suspend or restrict access if security concerns arise.
Use of the platform
You agree to use the platform only for lawful business purposes. You must not use the platform for fraudulent or misleading activity, manipulate balances or transactions, or attempt to gain unauthorised access.
Transactions
All transactions are agreed directly between members. Morex Network is not a party to transactions between members. Members are responsible for the quality, delivery, and payment terms of goods and services.
Nature of Morex Credits
Morex Credits are fixed at Ṁ1 = £1 sterling for all accounting, VAT, and tax purposes. Morex Credits are not legal tender, cannot be redeemed for sterling, are not deposits or stored value, and can only be spent within Morex Network.
Credit limits
Members are subject to Morex Credits credit limits set by Morex Network. Members must not exceed their assigned limits. We may adjust limits at our discretion.
Fees
Morex Network may introduce fees for use of the platform. Any such fees will be clearly communicated to members in advance.
Tax and accounting
Members are responsible for complying with all tax obligations, accounting for Morex Credits transactions at face value (Ṁ1 = £1), and charging and paying VAT where applicable. Morex Network does not provide tax or financial advice.
Suspension and termination
We may suspend or terminate access if these Terms are breached. Members who hold a negative Morex Credits balance at termination remain obligated to bring that balance to zero.
Liability
To the fullest extent permitted by law, Morex Network is not liable for disputes between members, does not guarantee the quality or performance of goods or services traded, and is not responsible for losses arising from member transactions.
Platform availability
We aim to ensure the platform is available at all times but do not guarantee uninterrupted access. We may perform maintenance or temporarily suspend access if necessary.
Intellectual property
All content, software, and materials on the platform remain the property of Morex Network or its licensors. Members may not copy or distribute platform content without permission.
Changes to these terms
We may update these Terms from time to time. Members will be notified of significant changes. Continued use constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of Scotland. Any disputes will be subject to the jurisdiction of the Scottish courts.
